1. Agreement to Terms

Welcome to NovaChart.AI (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, services, and applications (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, INCLUDING LIMITATIONS OF LIABILITY AND A MANDATORY ARBITRATION PROVISION.

2. Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you represent that you have your parent or guardian's permission to use the Services. By using our Services, you represent and warrant that:

• You meet the age requirements stated above
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws and regulations
• You have not been previously suspended or removed from the Services

3. Account Registration

4. Use of Services

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes.

4.2 Restrictions

You agree NOT to:

• Use the Services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon or violate our intellectual property rights or the rights of others
• Submit false, inaccurate, or misleading information
• Upload viruses or malicious code
• Spam, solicit, or harass other users
• Collect or harvest any user data without consent
• Use automated systems (bots, scrapers) to access the Services
• Attempt to bypass any security measures or access restrictions
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to compete with us or create derivative works
• Remove, alter, or obscure any proprietary notices

4.3 Commercial Use

5. Content and Intellectual Property

5.1 Our Content

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, software, and calculations, are owned by NovaChart.AI or our licensors and are protected by international copyright, trademark, and other intellectual property laws.

5.2 User Content

When you provide information to our Services (such as birth data), you retain ownership of that information. However, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and display your information solely to provide the Services to you.

5.3 AI-Generated Content

Birth chart interpretations generated by our AI service are provided for entertainment and educational purposes. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You may use AI-generated content for personal purposes, but you may not resell or redistribute it without our permission.

5.4 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use them without any obligation to you.

6. Paid Subscriptions and Billing

6.1 Subscription Plans

NovaChart.AI offers both free and paid subscription plans. Paid plans include Pro and Premium subscriptions with enhanced features. For current pricing and plan details, please visit our Pricing Page.

6.2 Billing and Payment

When you subscribe to a paid plan:

• You agree to pay the subscription fees at the rates in effect when charges are incurred
• All payments are processed through our third-party payment provider (Creem)
• You authorize us to charge your chosen payment method on a recurring basis
• Fees are charged in advance on the first day of each billing cycle
• All fees are in your local currency unless otherwise stated
• You are responsible for providing accurate payment information and keeping it up to date

6.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee. We may change our fees upon 30 days' notice, which may be sent by email or posted on our website.

6.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• No refund will be provided for the unused portion of your subscription
• Your account will revert to the free plan at the end of the billing period
• Your data will be retained according to the free plan limits (max 3 charts)

6.5 Free Trial

We may offer a free trial period for new subscribers. During the trial:

• You can access paid features without charge
• You must provide valid payment information
• You will be charged the subscription fee at the end of the trial unless you cancel
• Cancellation during the trial period results in no charges
• Free trial eligibility is limited to one per user

6.6 Refunds

Refund eligibility is governed by our Refund Policy. In general:

• First-time subscribers may request a full refund within 7 days of payment
• Renewal payments are non-refundable
• We reserve the right to grant refunds at our discretion on a case-by-case basis

6.7 Payment Failures

If a payment fails:

• We will notify you and may retry the payment
• Your access to paid features may be suspended
• Your subscription may be canceled if payment is not received within 7 days
• You remain responsible for any unpaid fees

6.8 Taxes

All fees are exclusive of applicable taxes (such as sales tax, VAT, or GST). You are responsible for paying all taxes associated with your subscription. If we are required to collect or pay taxes, they will be charged to your payment method.

6.9 Price Changes

We may change our subscription fees at any time. For existing subscribers:

• We will provide at least 30 days' notice before the change takes effect
• The new price will apply to your next billing cycle
• You may cancel before the change if you do not agree to the new price

7. Service Availability and Modifications

7.1 Availability

We strive to provide reliable Services, but we do not guarantee that the Services will be:

• Available at all times without interruption
• Error-free or free from viruses or other harmful components
• Compatible with all devices or browsers

7.2 Modifications

We reserve the right to:

• Modify, suspend, or discontinue any part of the Services at any time
• Change features, functionality, or pricing
• Impose limits on certain features or access

We will provide reasonable notice of material changes when possible, but are not obligated to do so.

You agree to indemnify, defend, and hold harmless NovaChart.AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Any content you submit to the Services

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@novachart.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

11.2 Binding Arbitration

11.3 Class Action Waiver

YOU AND NOVACHART.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION. You waive your right to participate in a class action lawsuit or class-wide arbitration.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

For users in the European Union, you may also have rights under the laws of your country of residence.

13. Termination

13.1 Termination by You

You may stop using the Services at any time. If you have an account, you may request deletion by contacting us.

13.2 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• Requests by law enforcement or government agencies

13.3 Effect of Termination

Upon termination:

• Your right to use the Services immediately ceases
• We may delete your account and data (subject to legal retention requirements)
• Provisions that should survive termination will remain in effect

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NovaChart.AI regarding the Services.

14.2 Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Sending email notification (for registered users)

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

The Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of service of any third party.

14.7 Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, government actions, or network failures.
